Welcome to Xspa Furniture ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website located at xspafurniture.com (the "Site"), as well as any purchase orders, OEM/ODM agreements, and business engagements entered into with us.

By accessing our Site, submitting an inquiry, placing an order, or entering into any business arrangement with Xspa Furniture, you ("Client," "Buyer," or "you") confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, please discontinue use of our Site and services immediately.

These Terms apply to all visitors, registered users, wholesale buyers, brand partners, distributors, and any other parties who interact with Xspa Furniture in a commercial capacity. We reserve the right to update or modify these Terms at any time. Continued use of our services following any modifications constitutes your acceptance of the revised Terms.

You may use our Site solely for lawful purposes and in a manner consistent with all applicable local, national, and international laws and regulations. You agree not to:

• Use the Site in any way that infringes upon the rights of others, or that is unlawful, harmful, threatening, abusive, or otherwise objectionable;
• Attempt to gain unauthorized access to any portion of the Site or related systems or networks;
• Scrape, harvest, or collect any content, product data, or pricing information without express written consent;
• Transmit unsolicited communications, malware, or any code of a destructive nature;
• Misrepresent your identity or affiliation when communicating with Xspa Furniture.

We reserve the right to terminate or restrict access to the Site at our sole discretion, without notice, for conduct that we determine violates these Terms or is otherwise harmful.

Xspa Furniture specializes in the manufacturing of high-end salon and spa furniture, including but not limited to barber chairs, styling chairs, beauty beds, shampoo chairs, SPA beds, and foot spa chairs. All product specifications, materials, dimensions, and finishes are subject to change without prior notice as part of our continuous improvement process.

All orders are subject to acceptance by Xspa Furniture. We reserve the right to refuse or cancel any order at our discretion, including but not limited to situations involving pricing errors, material unavailability, or inability to verify client credentials. An order is only considered confirmed upon issuance of a formal Order Confirmation or proforma invoice signed by an authorized representative of Xspa Furniture.

Minimum order quantities (MOQ) may apply and will be communicated during the quotation stage. Customization requests -- including materials, dimensions, colors, branding, and packaging -- are welcome and shall be outlined in a separate product specification sheet agreed upon by both parties prior to production commencement.

All prices quoted by Xspa Furniture are in United States Dollars (USD) unless otherwise stated in writing. Quoted prices are valid for thirty (30) days from the date of issuance, after which they are subject to revision based on fluctuations in raw material costs, labor, logistics, and foreign exchange rates.

All bank charges, transaction fees, and currency conversion costs associated with the payment are the sole responsibility of the Buyer. Payments not received by the agreed due date may result in a suspension of production or shipment. Xspa Furniture reserves the right to charge a late payment fee of 1.5% per month on any overdue balance.

Xspa Furniture ships internationally from our manufacturing base in Jiujiang Town, Nanhai District, Foshan City, Guangdong Province, China. We serve clients in Europe, North America, South America, the Middle East, Australia, Japan, South Korea, and actively expanding markets including the BRICS nations, Africa, and Southeast Asia.

Delivery timelines are estimates and are contingent upon order complexity, current production capacity, and the availability of shipping arrangements. Lead times will be specified in the Order Confirmation. Xspa Furniture shall not be held liable for delays caused by circumstances beyond our reasonable control, including but not limited to port congestion, carrier delays, force majeure events, customs clearance, or natural disasters.

Risk of loss and title for all goods pass to the Buyer upon delivery to the freight carrier at our facility (EXW Foshan), unless an alternative Incoterm is explicitly agreed upon in writing. The Buyer is responsible for all import duties, taxes, customs brokerage fees, and compliance with the destination country's import regulations.

Xspa Furniture maintains an industry-leading quality standard with a client satisfaction rate exceeding 99.5% and a product defect rate of less than 0.02%. In the event that goods are received with manufacturing defects or damage attributable to our production process, the following policy applies:

• Inspection Window: All claims must be submitted in writing within fourteen (14) calendar days of delivery, accompanied by photographic and video evidence of the defect.
• Remedies: Upon verification of a valid defect claim, Xspa Furniture will, at its discretion, offer replacement of the defective units, provision of replacement parts, or a credit toward future orders.
• Exclusions: Returns are not accepted for custom OEM/ODM orders produced to client-approved specifications, goods damaged after delivery due to improper handling, or items altered without our consent.
• Return Shipping: Return logistics costs for defective goods, where a return is authorized, shall be negotiated on a case-by-case basis.

All content on this Site -- including but not limited to text, graphics, product designs, photography, logos, brand names, software, and the overall look and feel -- is the exclusive property of Xspa Furniture or its licensors and is protected by applicable intellectual property laws in China and internationally.

Our self-developed and patented product designs, resulting from annual R&D investments exceeding $200,000 USD, are proprietary assets of Xspa Furniture. You may not reproduce, copy, reverse-engineer, or commercially exploit any of our patented designs or proprietary technologies without prior written authorization.

For OEM/ODM engagements where the Client provides original designs or artwork, the Client warrants that they hold full ownership and necessary rights to those designs, and indemnifies Xspa Furniture against any third-party intellectual property claims arising from our production of such Client-supplied designs.

The Xspa Furniture name, logo, and associated trademarks are the exclusive property of the Company. Unauthorized use of our trademarks is strictly prohibited and will be pursued to the fullest extent of the law.

In the course of our business relationship, both parties may disclose or have access to proprietary and confidential information, including but not limited to product designs, pricing structures, production processes, supplier relationships, client lists, and strategic business information ("Confidential Information").

Both parties agree to: (i) hold all Confidential Information in strict confidence; (ii) not disclose Confidential Information to any third parties without prior written consent; (iii) use Confidential Information solely for the purpose of fulfilling the agreed commercial transaction; and (iv) apply at least the same degree of protection to the other party's Confidential Information as applied to their own.

These confidentiality obligations survive the termination of any commercial relationship between the parties for a period of three (3) years. A separate Non-Disclosure Agreement (NDA) may be entered into upon mutual request for enhanced protection.

To the fullest extent permitted by applicable law, Xspa Furniture shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, goodwill, or data, arising out of or related to your use of our Site, products, or services -- even if we have been advised of the possibility of such damages.

In no event shall Xspa Furniture's total aggregate liability to any party exceed the total purchase price paid by that party for the specific order giving rise to the claim within the twelve (12) months preceding the claim.

This Site and all information contained herein are provided on an "as is" and "as available" basis without warranty of any kind, whether express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of laws provisions.

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, or to the breach, termination, or validity thereof, the parties shall first attempt to resolve the matter amicably through good-faith negotiation within thirty (30) days of written notice.

If a dispute cannot be resolved through negotiation, it shall be submitted to the competent People's Court in Foshan City, Guangdong Province, China, or, upon mutual agreement, referred to arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC), with the arbitration conducted in Guangzhou, China.

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
